Grant of Rights *
The Company hereby grants the Distributor the exclusive/non-exclusive right to distribute and sell Pro Numb Tattoo Numbing Spray (

Responsibilities of the Distributor *
The Distributor agrees to: Promote and sell the Product within the Territory. Maintain a sufficient inventory of the Product. Provide customer support and handle returns in accordance with the Company's policies. Comply with all local laws and regulations related to the distribution and sale of the Product.
Responsibilities of the Company*
The Company agrees to: Supply the Product to the Distributor promptly. Provide marketing materials and support. Ensure the Product meets all safety and quality standards. Provide training to the Distributor's staff if necessary.
Pricing and Payment *
The Distributor shall purchase the Product at the prices outlined in Schedule A attached hereto. Payment terms shall be within fifteen (15) days from the date of invoice. The Company reserves the right to adjust prices with twenty-four (24) hours' notice to the Distributor.
Marketing and Promotion *
The Distributor shall use its best efforts to market and promote the Product. The Distributor agrees to use marketing materials provided by the Company and not to alter them without prior written consent. The Distributor may also create and use marketing materials created by their business using Pro Numb's logos and materials.
Intellectual Property
The Company retains all rights, title, and interest in and to the Product, including all trademarks, trade names, and logos associated with Pro Numb. The Distributor is granted a non-exclusive license to use the Company’s trademarks, trade names, and logos in connection with the promotion and sale of the Product in the Territory.
Confidentiality*
Both parties agree to keep confidential any proprietary information received from the other party, including but not limited to pricing, marketing strategies, and customer lists.
Termination *
Either party may terminate this Agreement with fifteen (15) days’ written or email notice. The Company may terminate this Agreement immediately if the Distributor fails to comply with any terms or if the Distributor becomes insolvent or bankrupt.
Governing Law*
This Agreement shall be governed by and construed in accordance with the laws of your City.
Entire Agreement *
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations.
Amendments *
Any amendments or modifications to this Agreement must be in writing and signed by both parties.
New Distributor Credit *
Spend $350 with Pro Numb in the first 60 days to unlock the credit. Once you get the credit, you can use it for anything on our site.

Deferred Payment Agreement.*
Deferred Payment Agreement
1. Agreement to Pay:
The Buyer agrees to pay for all products ordered from Pro Numb within the specified payment terms outlined in this agreement.

2. Payment Terms:
The Buyer shall make full payment for the ordered products within 60 days from the date of the invoice.

3. Late Payment:
If the Buyer fails to make the payment within the specified time frame, a late payment fee of 18% of the total amount due will be applied for every 5 days the payment is overdue.

4. Default:
In the event of default, where the Buyer fails to make the payment within 60 days from the due date, Pro Numb reserves the right to pursue legal action to recover the outstanding amount, including any additional costs incurred during the collection process.

5. Security Interest:
Pro Numb retains a security interest in all products ordered until full payment has been received.

6. Termination:
Pro Numb reserves the right to terminate this agreement and cease further supply of products if the Buyer fails to comply with the payment terms.

7. Governing Law:
This agreement shall be governed by and construed in accordance with the laws of Florida and the United States

8. Acceptance:
By placing an order, the Buyer acknowledges and accepts the terms and conditions of this Deferred Payment Agreement.
These questions will help us assess the qualifications, and alignment with Pro Numb before allowing companies to resell our tattoo supplies in their area.

If any provision, section, subsection, clause or phrase of this release is found to be unenforceable or invalid, that portion shall be severed from this contract. The remainder of this contract will then be construed as though the unenforceable portion had never been contained in this document.
